Terms and Conditions for the CTMI-eVault service

1. Acceptance of Terms

Welcome to CTMI-eVault, a secure file upload and storage service provided by ChamberTrust Management International Inc. ("CTMI"). By accessing or using CT MI-eVault, you ("User" or "Subscriber") agree to be bound by these Terms and Conditions (the "Agreement"). If you do not agree to these terms, please do not use the service.

By creating an account, uploading or downloading files to CTMI-eVault, you affirm that you are using CTMI-eVault for business purposes only, at least 18 years of age, have the legal capacity to enter into binding agreements, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the service.

2. Eligibility and Account Management

• Account Creation: You must provide accurate and complete information to create an account. You are solely responsible for maintaining the confidentiality of your login credentials.
• Account Termination: CTMI reserves the right to reject, suspend, or terminate any account at its sole discretion, including but not limited to cases where a User is found to be in contravention of national and/or international law.
• Compliance with Law: Users must not upload or store content that violates any applicable laws or regulations, including but not limited to intellectual property rights, privacy laws, or export controls.

4. Account Registration

To use CTMI-eVault, you must register for an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You are solely responsible for all activities that occur under your account.

5. Description of Service

CTMI-eVable is an online service that allows Users to securely upload, store, and manage digital files. The service utilizes multi-layered encryption, auto-notarization, and other technical measures to protect User data.

6. Content Ownership and Responsibility

Your privacy is important to us. You retain ownership of the content you upload to CTMI-eVault. However, by uploading content, you grant CTMI a non-exclusive, royalty-free license to use, store, and process your content solely for the purpose providing the CTMI-eVault service. You are solely responsible for the content you upload, including its accuracy, legality, and compliance with applicable laws. CTMI does not sell any of its data to third parties. More on Privacy.

7. Prohibited Activities

You agree not to:

• Upload files containing illegal, harmful, or infringing content (e.g., malware, pirated material, or confidential information).
• Use CTMI-eVault for unauthorized surveillance, harassment, or other unlawful purposes.
• Attempt to circumvent CTMI's security measures, including encryption or auto-notarization protocols.
• Upload, store, or transmit any content that infringes upon the intellectual property rights of others.
• Upload, store, or transmit any viruses, malware, or other harmful code.
• Use CTMI-eVault to engage in any fraudulent or deceptive activities.
• Attempt to gain unauthorized access to CTMI-eVault or the accounts of other Users.
• Interf ere with the operation of CTMI-eVault.
• Use CTMI-eVault in a manner that could damage the reputation of CTMI.

8. Data Security and Confidentiality

• Protection Measures: CTMI protects uploaded files through multi-layered encryption, auto-notarization, and other technical safeguards to ensure confidentiality and integrity. Our privacy policy is located here.
• Legal Requests: While CTMI prioritizes user privacy, it must comply with legal obligations. A request by Canadian legal authorities for account information will be fulfilled in accordance with Canadian laws, including federal and provincial legislation. CTMI is not obligated to comply with requests from non-Canadian authorities unless required by international treaties or Canadian law.
• Cooperation: CTMI will cooperate with law enforcement and regulatory bodies to the extent required by Canadian law. This includes, but is not limited to, responding to subpoenas, court orders, or warrants. Users acknowledge that their data may be disclosed in such cases, and CTMI shall not be liable for such disclosures.

9. Termination of Service

You may terminate your account at any time. CTMI may terminate or suspend access to CTMI-eVault at any time, with or without notice, for any reason, including but not limited to:

• Breach of these Terms.
• Failure to pay fees (if applicable).
• Security or operational concerns.

10. Service Availability and Modifications

CTMI reserves the right to modify, suspend, or terminate CTMA-eVault, or any part thereof, at any time, with or without notice. We may also change these Terms and Conditions from time to time. Any changes will be effective upon posting the updated Terms and Conditions on our website. Your continued use of CTMI-eVault after the posting of any changes constitutes your acceptance of the revised Terms and Conditions.

11. Disclaimers

CTMI-eVault is provided "as is" and "as available" without any warranties of any kind, express or implied. CTMI disclaims all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. CTMI does not warrant that CTMI-eVault will be uninterrupted and error-free.

12. Limitation of Liability

In no event shall CTMI be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of CTMA-eVault, including, but not limited to, loss of data, loss of profits, or business interruption. In no event shall CTMI, its officers, employees, or agents be liable for:

• Indirect, incidental, or consequential damages arising from your use of CTMI-eVault.
• Loss or corruption of data due to causes beyond CTMI's control (e.g., user error, third-party attacks).
• The total liability of CTMI shall not exceed the fees paid by you for the service in the preceding 12 months.

13. Indemnification

You agree to indemnify and hold CTMI, its affiliates, officers, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of or relating to your use of CTMI-eVault or your violation of these Terms and Conditions.

14. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada. Any dispute arising out of or relating to these Terms and Conditions shall be governed by and construed in accordance with the laws of British Columbia, Canada, and any disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and CTMI regarding CTMI-eVault.
• Acceptance: Use of the service constitutes acceptance of the Terms.
• Severability: If any provision of these Terms is found invalid, the remaining provisions shall remain in full force and effect.
